Terms of service

The agreement between you and Passim for the website, API, and MCP server.

These terms are an agreement between Passim AI LLC ("Passim", "we") and you, or, if you accept them for a law firm or other organization, that organization. They cover the Passim website, API, and MCP server and everything you reach through them. By using Passim you agree to them.

A. The service

Passim is a research database for U.S. immigration law with a citator, delivered to AI assistants over the Model Context Protocol and, where offered, through an API and website features. During your subscription you may use it for legal research, education, and evaluation. You own your questions and whatever you or your assistant produce with Passim's results. Passim keeps the rights to its software, its compilation of the library, its metadata, summaries, and research signals.

Passim does not use your questions, tool calls, or saved work to train any model, and does not send them to any AI provider.

B. Accounts and seats

A seat is one named person. Each person signs in with their own identity and may not share credentials or use someone else's. If you accept these terms for a firm, you are responsible for the people you add. Keep your credentials secure and tell us promptly if you believe they have been compromised. API keys are issued separately and are personal to the account they are issued to.

C. Your AI assistant

Claude, ChatGPT, or another MCP client that you connect to Passim is a separate service under its own terms. It processes your conversation, decides when to call Passim, and receives the results, and it may keep them according to your workspace's settings. You are responsible for choosing and configuring that assistant, for its retention and training settings, and for deciding what confidential information, if any, is appropriate to put into it. Passim does not control it and is not responsible for it.

D. Fees and billing

Paid plans are billed per seat, monthly or yearly, in advance, at the prices on the pricing page. Subscriptions renew automatically at the end of each period unless you cancel before then; cancellation takes effect at the end of the current period. Seats added during a period are charged pro rata. If a price changes, we will give at least 30 days' notice, and the new price applies from your next renewal. Fees do not include taxes, which you are responsible for where they apply. Except where the law requires otherwise, fees are not refundable. Firm-wide and data-licensing agreements are priced and documented separately.

E. Acceptable use

Use Passim lawfully and for its purpose: research. You may not attempt to get around access controls or rate limits, probe another person's data, or interfere with the service; share credentials or impersonate someone; extract the database in bulk, republish or resell it, or use it to train a model without a written license from us; or present Passim's summaries, classifications, or citator signals as the statement of a court or agency. We may suspend access that threatens the service or other users.

F. Data and privacy

How Passim handles information is set out in the privacy policy, the security page, and the subprocessors list, which are part of these terms. In summary: queries are processed and not retained, operational logs are kept for 90 days, and nothing you send is used for training.

G. Confidentiality

Each of us will protect the other's confidential information with at least reasonable care and use it only for this agreement. Information that is public, already known, independently developed, or received from someone entitled to share it is not confidential. Either of us may disclose confidential information when the law compels it, after giving notice where notice is allowed. Nothing in this section makes Passim a repository for client files, and Passim is not one.

H. Sources and accuracy

The library is built from public legal materials, to which courts, agencies, and other publishers keep whatever rights they have. Passim adds organization, links, metadata, summaries, and research signals, some of them produced with AI. Sources may be incomplete, delayed, superseded, misclassified, or affected by errors in the original or in scanning. A link to a source does not mean the source endorses Passim.

Passim is a research aid. It does not give legal advice, does not create an attorney-client relationship, and does not replace your professional judgment. Read the primary source before you rely on it, and check the treatment of any case before you cite it.

I. Support and availability

Support is by email on business days. Passim aims to be available at all times but does not promise uninterrupted service, and may change features, sources, or access methods as the service develops. Material changes to these terms will be posted here with a new date; if you keep using Passim after that, the new terms apply.

J. Suspension and termination

You can cancel at any time, effective at the end of the current billing period. We may suspend or end access for a breach of these terms that is not cured within 30 days of notice, immediately for conduct that threatens the service or other users, or where the law requires. When your account is closed, we delete your account data and saved work on request, as described in the privacy policy. Sections G, H, K, and L survive termination.

K. Warranties and limits on liability

Passim is provided as is. To the fullest extent the law allows, we disclaim all warranties, including accuracy, completeness, currency, availability, fitness for a purpose, and non-infringement, and we are not liable for indirect, incidental, consequential, special, or punitive damages, lost profits, lost data, missed deadlines, or professional decisions made in reliance on the service. Our total liability under these terms is limited to the fees you paid Passim in the six months before the claim arose. Nothing here excludes liability that cannot lawfully be excluded.

L. Indemnity

You will defend and indemnify Passim against third-party claims arising from information you submit, your use of Passim in breach of these terms, or your professional work product.

M. Disputes and governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Before either of us starts a proceeding, we will try for 60 days to resolve the dispute informally. Any proceeding will be brought in the state or federal courts sitting in Texas, and each of us consents to their jurisdiction.
